Club Ink Terms of Service
Effective Date: Feb 15, 2026
These Terms of Service ("Terms") govern all products and services provided by Club Ink, operating as 1730943 Ontario Ltd. ("Club Ink," "we," "us," or "our").
By requesting a quote, placing an order, submitting files, approving proofs, or otherwise engaging Club Ink for printing, signage, fabrication, installation, or related services, you ("the Client") agree to these Terms.
If you do not agree, please do not use our services.
1. About Club Ink
Club Ink is a Toronto-based large-format printing and signage company providing services including, but not limited to:
- Sign fabrication
- Installation services
- Vehicle wraps
- Event builds
- Film and television production prints
- Window graphics
- Canada-wide shipping (at Client's expense)
2. Quotes, Orders, and Acceptance
All orders are processed through our internal quoting and production workflow, typically initiated through email or written communication with our team.
Quotes are valid only for the time period stated and may change due to:
- Material pricing
- Scope changes
- Site conditions
- Turnaround requirements
Club Ink reserves the right to refuse or decline any order or project at our sole discretion, including work we deem unsafe, impractical, inappropriate, or not in the best interest of the company.
3. Deposits and Payment Terms
Payment terms are as follows unless otherwise agreed in writing:
- New Clients: 50% deposit required before production begins
- Orders under $1,000: Full payment required upfront
- Approved Net-30 Accounts: Available for select large or recurring clients at Club Ink's discretion
Unpaid balances may delay production, delivery, or installation.
4. Client Responsibilities and Artwork
4.1 Client-Supplied Files
Clients are solely responsible for ensuring that all submitted artwork, designs, logos, and content are:
- Correct
- Print-ready
- High-resolution
- Approved for reproduction
Club Ink is not responsible for defects or dissatisfaction resulting from poor-quality files or unclear client instructions.
4.2 Intellectual Property Warranty
By submitting content for production, the Client represents and warrants that they have full legal rights and authorization to use all materials provided.
The Client agrees to indemnify and hold Club Ink harmless from any claims arising from copyright, trademark, or intellectual property infringement.
5. Proofs, Approvals, and Production
5.1 Proof Requests
Proofs may be provided upon request or when deemed necessary by Club Ink.
Some rush orders may proceed without formal proofing to meet turnaround requirements.
5.2 Approval Requirement
Production may begin only after Client approval has been obtained, which may occur through:
- Written approval (email or message confirmation)
- Verbal approval in time-sensitive or rush circumstances
Once approval is granted, the Client accepts responsibility for all approved specifications, including layout, spelling, sizing, and design.
5.3 Changes After Approval
Changes requested after approval or once production has started may result in:
- Additional charges
- Delays
- Reprinting costs
If Club Ink is required to produce a replacement due to Client error, the Client will be responsible for the full cost of additional prints.
6. Installation and Third-Party Materials
Club Ink is not responsible for failures, defects, or performance issues resulting from:
- Client-supplied materials
- Existing signage or structures from other vendors
- Client-provided equipment
- Pre-installed surfaces or unknown site conditions
Where third-party conditions affect performance, no refund or warranty will apply.
7. Warranty, Defects, and Refund Policy
7.1 Defect Claims
Clients must report defects or failures within one (1) week of installation or delivery.
Defects attributable to Club Ink production may be resolved by:
- Reprint
- Repair
- Store credit
- Replacement (at our discretion)
7.2 No Refund Situations
No refunds or reprints will be provided where issues arise due to:
- Client-submitted artwork errors
- Unclear or changing client instructions
- Approval of incorrect proofs
- Third-party or client-provided materials
- Misuse, improper handling, or environmental factors beyond our control
7.3 Extensions by Discretion
Club Ink may, at its discretion, consider reasonable warranty extensions on a case-by-case basis if a Client presents a legitimate concern beyond the standard claim period.
8. Portfolio and Promotional Use
Unless otherwise requested in writing, the Client grants Club Ink permission to photograph, reproduce, and display completed work for:
- Portfolio use
- Website and social media
- Advertising and promotional materials
If a project is subject to an NDA or confidentiality requirement, Club Ink will obtain written consent prior to public release.
Clients may request removal of published project imagery by contacting Club Ink. Takedown requests will only be accepted from the original ordering contact or an authorized representative.
9. Use of Artificial Intelligence (AI)
Club Ink may use artificial intelligence ("AI"), machine learning, or automated tools to assist in internal processes and customer experience improvements, including but not limited to:
- Mockups and proofing support
- Design assistance
- Marketing and communication optimization
- Workflow efficiency
AI tools are used as support systems only. All deliverables remain subject to human oversight.
To the fullest extent permitted by law, Club Ink makes no guarantee that AI-assisted outputs are error-free, complete, or suitable for every intended purpose.
10. Limitation of Liability
To the maximum extent permitted under applicable law:
- Club Ink shall not be liable for indirect, incidental, special, or consequential damages
- Club Ink's total liability for any claim shall not exceed the amount paid for the specific order in question
11. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada.
Any disputes shall be resolved exclusively in the courts of Ontario.
